I had upgraded to winMe also, and using MSIE as my default browser. This was not recognized by my UTF deluxe either; therefore, rather than mess around at all with the IE I went the easier way. I put the disk for UTF in my rom drive and right click on that drive with the mouse, select open. It will open the drive for browsing and you can go from folder to folder(directory to directory). There is a folder for MSIE; however, this is only for version 4.0, I believe. I did not want to do this, I wanted to retain my current IE, so I just installed the Newscape version that was in the netscape folder, the version for 32 bit operation. I did not set this as my default browser since i wanted to use my IE, and deselected the "check to see if this is the default browser tab" when it starts up. This means, I have my IE for normal operation as my computer was, and UTF will use Newscape when it starts up. It did recognize Netscape no problem.
